Statement on Anti-Bribery and Anti-Corruption
Based on SKMS, SK Biopharmaceuticals strives to create greater value for all of its stakeholders,
play an instrumental role in social and economic advancement, and contribute to the wellbeing of humanity.
In support of its commitment to integrity, SK Biopharmaceuticals has established and maintains Anti-Bribery and Anti-Corruption Statement as below.
- Clause 1 (Anti-Corruption) All of its employees are strictly prohibited from engaging in or tolerating bribery or any other form of corruption as stipulated in ‘Anti-Corruption Code of Conduct’.
- Clause 2 (Laws and Regulations) All of its employee are required to comply with all applicable anti-bribery and anti-corruption laws and regulations that apply to business activities around the world, including but not limited to, the U.S. Foreign Corrupt Practices Act (“FCPA”).
- Clause 3 (Anti-Corruption Management System) SK Biopharmaceuticals has established Anti-Corruption Management System and periodically evaluates the effectiveness of it.
- Clause 4 (Whistleblowing System) In accordance with ‘Counseling/Whistleblowing Investigation Process’, SK Biopharmaceuticals encourages all of its stakeholders to actively participate in anti-corruption activities by providing a variety of online and offline whistleblowing channels.
- Clause 5 (Disciplinary Action) SK Biopharmaceuticals ensures fair management of disciplinary action in accordance with ‘Incentive and Discipline Guideline’ and may share the result of disciplinary action within the company.
- Clause 6 (Authority and Independence) The independence of Compliance Team in charge of managing Anti-Corruption Management System is assured at all times, and it has a delegated authority to enhance the effectiveness of the system, including but not limited, to the authority to stop work when a risk appears to be imminent.
- Clause 7 (Commitment to Anti-Corruption) The Management Body at SK Biopharmaceuticals pays keen attention to ensure that the system remains efficient at all times.

SK Biopharmaceuticals complies with all domestic and foreign anti-corruption laws and regulations to contribute
to the wellbeing of all stakeholders.
SK Biopharmaceuticals provides periodic anti-corruption trainings to the Board as well as to the management body regularly
(at least once a year) and maintains its own ‘Anti-Corruption Training Policy’ that contains detailed training plan and schedule.

In order to foster a culture of anti-corruption and integrity, SK Biopharmaceuticals has established
the Anti-Corruption Code of Ethics after a careful deliberation and resolution by the Board of Directors.
The company has established ‘Anti-Corruption Plans and Goals’ in an effort to implement a systematic approach.

Anti-Corruption Compliance All employees members shall comply with the world's highest legal and ethical standards in conducting everyday business and shall strictly abide by the US Foreign Corrupt Practices Act (FCPA), the UK Bribery Act, the OECD Convention on Combating Bribery, and any other anti-corruption laws applicable.

Workplace Ethics As a means to preventing corruption, all members are required to take anti-corruption trainings regularly and are strictly prohibited from any and all forms of solicitation, bribery and/or illegal rebate.
In particular, all members are strictly prohibited from engaging in any actions that could potentially violate any domestic and/or foreign anti-corruption laws and regulations. -
Transmitting the Culture of Anti-Corruption In order to prevent corruption, all member of SK Biopharmaceuticals, as well as affiliates, agents, counterparties, and/or business partners, strive to comply with the global anti-corruption laws and regulations as well as relevant standards at all times.
